Storista — Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Storista platform, websites, applications, APIs, and related services (collectively, the "Service") provided by Storista LLC, a Wyoming limited liability company ("Storista," "we," "us," or "our").
By creating an account, clicking "I agree," or accessing or using the Service, you agree to be bound by these Terms and by our Acceptable Use Policy at /aup (the "AUP") and Privacy Policy at /privacy-policy, each incorporated by reference. If you do not agree, do not use the Service.
1. Who we are; acceptance
These Terms form a binding agreement between you and Storista. If you use the Service on behalf of a company, brand, agency, or other organization (a "Business User"), you represent that you have authority to bind that organization, and "you" refers to both you and that organization. The Service is offered to both businesses and individual creators ("Individual Users").
2. Eligibility and authority
2.1 Age. You must be at least 18 years old (or the age of majority in your jurisdiction, if higher).
2.2 Authorized Users. A Business User may permit its employees, contractors, or agents ("Authorized Users") to access the Service under its account, subject to any seat limits in its plan. You are responsible for your Authorized Users' compliance with these Terms and the AUP and are liable for their acts and omissions as if they were your own.
2.3 Compliance. You may use the Service only in compliance with these Terms, the AUP, and all applicable laws.
3. Definitions
- "Avatar" — an artificial, computer-generated synthetic persona made available through the Service. Avatars do not depict, and are not intended to depict, any real, identifiable individual.
- "Input" — any text, prompt, product information, script, audio, image, or other material you submit to the Service.
- "Output" — any video, audio, image, or other content generated by the Service in response to your Input.
- "Generated Content" — Inputs and Outputs collectively.
- "AI Studio" — the Service's tools for configuring, editing, and producing AI-generated media.
- "Credits" — the prepaid, consumable units used to access certain generation features, as described in Section 5.
- "Subscription" — a recurring paid plan providing access to the Service and/or a periodic allocation of Credits.
4. Accounts
4.1 You must provide accurate registration information and keep it current.
4.2 You are responsible for safeguarding your account credentials, for taking reasonable steps to prevent unauthorized access, and for monitoring all activity under your account. Notify us promptly at help@storista.io of any unauthorized use.
4.3 We may suspend or terminate accounts as described in Section 15.
5. Subscriptions, Credits, and Billing
5.1 Plans. The Service is offered through Subscriptions and/or Credit purchases as described at /pricing. Features, Credit allocations, and prices are set out there and may change as described below.
5.2 Credits.
- (a) Credits are prepaid and consumable. They are deducted when you submit a generation request, in accordance with our then-current Credit schedule.
- (b) Credits have no cash value, are not a form of currency or stored value, are non-transferable, and are non-refundable except where required by law.
- (c) Credits may expire as stated at the point of purchase or in your plan. Subscription-allocated Credits may not roll over between billing periods unless expressly stated.
- (d) If a generation fails due to a verified fault of the Service, we will restore the affected Credits. Credits consumed by generations that fail or are blocked due to your violation of these Terms (including the AUP) are not restored.
5.3 Auto-renewal (please read). Paid Subscriptions automatically renew at the end of each billing period (monthly or annual, as selected) and your payment method will be charged the then-current price for the renewal term, unless you cancel before the renewal date. We will disclose renewal terms at purchase and, where required, send renewal reminders.
5.4 Cancellation. You may cancel auto-renewal at any time from your account settings or by contacting help@storista.io, using the same medium and with at least the same ease as you used to subscribe. Cancellation stops future renewals; it does not retroactively refund the current term except as stated in Section 5.6 or as required by law. You retain access through the end of the paid period.
5.5 Price changes. We may change prices and Credit schedules. For Subscriptions, changes apply to the next renewal term after we give you reasonable advance notice; continued use after the change takes effect constitutes acceptance.
5.6 Refunds. Except as required by applicable law, all fees are non-refundable.
5.7 No refunds for dissatisfaction with Output. Output is generated on demand using artificial intelligence and consumes computing resources at the moment it is produced. Accordingly, fees and Credits associated with generated Output are not refundable, and Credits are not restored, on the basis of your subjective dissatisfaction with a result — including where you do not like, or consider unsatisfactory, the quality, style, appearance, realism, accuracy, or creative outcome of a generated video or image. You acknowledge that AI-generated Output is inherently variable and is provided on an "as is" basis (see Section 13). This Section does not affect Credit restoration for generations that fail due to a verified fault of the Service (Section 5.2(d)), nor any non-waivable rights you may have under applicable consumer-protection law.
5.8 Taxes. Prices exclude taxes. You are responsible for applicable taxes, except taxes on our net income.
5.9 Payment processing & chargebacks. Payments are processed by third-party processors; you authorize charges to your selected payment method. Initiating a chargeback without first contacting us to resolve a billing issue is a breach of these Terms and may result in suspension.
6. Acceptable use
Your use of the Service is governed by the Acceptable Use Policy at /aup, which is incorporated into these Terms. Among other things, the AUP prohibits creating content that depicts real, identifiable people; presenting synthetic Output as genuine consumer reviews or testimonials; and tampering with provenance or AI-disclosure signals. Violating the AUP is a material breach of these Terms. We may review, block, remove, or refuse Generated Content and suspend or terminate access as described in the AUP and in Section 15.
7. Provenance and AI transparency
7.1 Marking of Output. We apply provenance and transparency signals to Output (which may include C2PA Content Credentials, metadata, and/or visible or machine-readable labels) to indicate that the content is AI-generated, consistent with applicable AI-transparency requirements.
7.2 Your obligations. As set out in the AUP, you must not remove, defeat, or falsify these signals, and you remain responsible for any additional, context-specific disclosures required where you publish or distribute Generated Content.
8. Intellectual property
8.1 Storista IP. The Service, the Avatars, the underlying models, software, designs, and all related intellectual property are owned by Storista or its licensors. Except for the limited rights expressly granted here, no rights are transferred to you.
8.2 Your Input. You retain whatever rights you hold in your Input. You grant Storista a worldwide, non-exclusive, royalty-free license to host, process, reproduce, and create derivative works from your Input solely to operate, secure, and improve the Service and to generate your Output.
8.3 Your Output and Avatar license.
- (a) Subject to your compliance with these Terms and payment of applicable fees, Storista assigns or otherwise grants to you all rights it holds in the Output you generate, so that you may use, reproduce, modify, and commercially exploit that Output, including for advertising.
- (b) The Avatars themselves remain Storista's property. You receive a non-exclusive, non-transferable license to use an Avatar only as embodied in Output you generate, and not to extract, isolate, or reuse an Avatar separately from that Output.
- (c) No exclusivity or originality warranty. AI-generated material may not be eligible for copyright or other protection, and similar Output may be generated for other users. We make no warranty that Output is original, unique, or non-infringing, and you are responsible for clearing and reviewing Output before use.
8.4 Feedback. If you give us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction.
9. Your responsibilities as advertiser/publisher
You acknowledge that the Service produces marketing and advertising material featuring synthetic performers. You act as the advertiser and publisher of your Generated Content. You are solely responsible for how, where, and to whom you publish it, including all required disclosures, claim substantiation, sectoral rules, and platform policies, as further described in the AUP.
10. Third-party services and integrations
10.1 The Service integrates with and relies on third-party services and platforms (which may include TikTok / TikTok Shop, Shopify, payment processors, and AI model and infrastructure providers). Your use of those services is governed by their own terms, and you must comply with them.
10.2 We are not responsible for third-party services, their availability, or their acts or omissions, and we may modify or discontinue an integration at any time.
11. Privacy
Our handling of personal data is described in our Privacy Policy at /privacy-policy, which is incorporated by reference. By using the Service you acknowledge that Privacy Policy.
12. Your representations and warranties
You represent and warrant, on your own behalf and on behalf of your Authorized Users, that:
- (a) you have full authority to enter into these Terms and, if applicable, to bind the organization you represent;
- (b) you and your Authorized Users will comply with these Terms, the AUP, and all applicable laws;
- (c) your Input, and your use, publication, and distribution of Output, do not and will not infringe, misappropriate, or violate any third party's intellectual-property, privacy, publicity, or other rights;
- (d) you have obtained all rights, consents, licenses, and permissions necessary for your Input and for your intended use of Output;
- (e) you will not present Output as a genuine consumer endorsement and will make all AI-generation and advertising disclosures required by law; and
- (f) you are not located in, and will not use the Service in, any jurisdiction subject to comprehensive sanctions, and you are not a restricted party under applicable export-control or sanctions laws.
13. Disclaimers
13.1 THE SERVICE AND ALL GENERATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
13.2 WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT OUTPUT WILL BE ACCURATE, RELIABLE, ORIGINAL, NON-INFRINGING, OR SUITABLE FOR ANY PURPOSE. AI-GENERATED OUTPUT MAY CONTAIN ERRORS OR UNEXPECTED RESULTS, AND YOU ARE RESPONSIBLE FOR REVIEWING IT BEFORE USE.
13.3 Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
14. Limitation of liability
14.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, STORISTA AND ITS OFFICERS, MEMBERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR GENERATED CONTENT.
14.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, STORISTA'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO STORISTA IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD 100.
14.3 The limitations in this Section apply even if a remedy fails of its essential purpose and reflect the allocation of risk between the parties. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
15. Indemnification
15.1 You will defend, indemnify, and hold harmless Storista and its affiliates, officers, members, employees, and agents (the "Indemnified Parties") from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your Input, your Output, or your use, publication, or distribution of Generated Content; (b) your or your Authorized Users' violation of these Terms (including the AUP) or of any law; (c) your infringement or violation of any third party's intellectual-property, privacy, publicity, or other rights; or (d) your failure to obtain any consent, license, or approval required for your Generated Content.
15.2 Procedures. Storista will promptly notify you of any claim for which it seeks indemnification. You will control the defense and settlement of the claim, except that any settlement that imposes any obligation or liability on, or requires any admission by, an Indemnified Party requires that party's prior written consent (not to be unreasonably withheld). Storista may participate in the defense with counsel of its own choosing at its own expense. You may not settle any claim in a manner that adversely affects an Indemnified Party without its prior written consent.
16. Term and termination
16.1 These Terms apply while you use the Service.
16.2 You may stop using the Service and close your account at any time.
16.3 We may suspend or terminate your access, with or without notice, if you violate these Terms or the AUP, if required by law, or to protect the Service or others. We may also discontinue the Service or features with reasonable notice where practicable.
16.4 Effect. On termination, your license to use the Service ends. Unused Credits and Subscription time may be forfeited where termination results from your breach. Sections that by their nature should survive (including 5.2(b), 6, 8, 9, 12, 13, 14, 15, 17, and 18) survive termination.
17. Governing law and disputes
17.1 Governing law. These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules, and, where applicable, by the U.S. Federal Arbitration Act.
17.2 Informal resolution. Before filing a claim, you agree to first contact us at help@storista.io and attempt to resolve the dispute informally for at least 30 days.
17.3 Arbitration; class-action waiver. Except for claims that may be brought in small-claims court and except for claims seeking injunctive relief for intellectual-property or AUP violations, any dispute will be resolved by binding individual arbitration rather than in court. You and Storista waive any right to a jury trial and to participate in a class or representative action.
17.4 Venue (if arbitration does not apply). The state and federal courts located in Sheridan County, Wyoming will have exclusive jurisdiction, and you consent to personal jurisdiction there.
18. General
18.1 Changes to these Terms. We may update these Terms. For material changes, we will provide reasonable notice (e.g., by email or in-product notice). Changes take effect on the stated effective date, and your continued use constitutes acceptance. If you do not agree, stop using the Service.
18.2 Entire agreement. These Terms, together with the AUP, Privacy Policy, and any other policies referenced here, are the entire agreement between you and Storista regarding the Service and supersede prior agreements.
18.3 Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
18.4 No waiver. Our failure to enforce a provision is not a waiver, and no single waiver is a continuing waiver.
18.5 Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
18.6 Force majeure. Neither party is liable for delays or failures due to events beyond its reasonable control.
18.7 Notices. We may provide notices by email or through the Service. Legal notices to Storista must be sent to legal@storista.io.
